Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Upsurge Labs Pte. Ltd., a company incorporated under the laws of the Republic of Singapore ("Upsurge Labs," "we," "us," or "our"), governing your access to and use of Naksha, our AI-powered personality and compatibility platform available at naksha.social and through our mobile applications (collectively, the "Service").

By accessing, browsing, or using the Service — whether by creating an Account, interacting with Ved, generating a profile, or simply visiting our website — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue all use of the Service. Your continued access to or use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Definitions

Throughout these Terms, the following capitalized terms carry the meanings set forth below:

"Service" means the Naksha platform, including the website at naksha.social, our iOS application, any future Android application, all associated APIs, and all features, tools, content, and functionality made available through them.
"User" means any individual who accesses or uses the Service, whether or not they have registered an Account.
"Account" means the personal account you create to access the Service, authenticated via email one-time passcode (OTP).
"Content" means all text, images, data, information, and other materials generated by, transmitted through, or displayed on the Service, including but not limited to Readings, Profile Data, and Ved conversations.
"Profile Data" means the computed personality profile data derived from your birth details, used to generate insights and compatibility analysis.
"Readings" means the AI-generated interpretations, analyses, and textual content produced by the Service based on your Profile Data, including daily insights, monthly outlooks, and compatibility reports.
"Ved" means Naksha's personal AI feature, which allows Users to engage in dialogue about their personality profile, insights, and compatibility.
"Connection" means a mutual, consent-based link between two User Accounts that enables the generation of compatibility Readings and the sharing of select Profile Data between those Users.
"Personal Data" has the meaning ascribed to it in our Privacy Policy and generally refers to any information relating to an identified or identifiable individual.
"We," "Us," or "Our" refers to Upsurge Labs Pte. Ltd. and its successors and assigns.
"You" or "Your" refers to the individual accessing or using the Service, and, where applicable, the entity on whose behalf such individual is acting.

3. Eligibility

The Service — including all dating, discovery, matching, and messaging features — is available only to individuals who are at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater). By using the Service, you represent and warrant that:

You are at least 18 years old and have reached the age of majority in your jurisdiction.
You have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
You have not previously been suspended, removed, or banned from the Service by us.
You have not been convicted of, and are not required to register as a sex offender in connection with, any sexual offence, violent crime, or crime involving harassment or stalking.
Your use of the Service does not violate any applicable law or regulation in your jurisdiction.

The Service is strictly not intended for minors. We reserve the right to request verification of age at any time and to suspend or terminate Accounts where eligibility requirements are not met. If we become aware that a User is under 18, we will terminate the Account and delete its data.

4. Account Registration & Security

To access certain features of the Service, you must register for an Account. When registering, you agree to the following:

One account per person. Each individual may maintain only one Account. Creating multiple Accounts is prohibited and may result in termination of all associated Accounts.
Accurate information. You must provide truthful and accurate birth details (date, time, and place of birth) and other registration information. The accuracy of your Profile Data and Readings depends directly on the accuracy of the information you provide. We are not responsible for inaccurate Readings resulting from incorrect birth details.
Email verification. Account authentication is performed via email one-time passcode (OTP). You are responsible for maintaining access to the email address associated with your Account.
Account security. You are solely responsible for all activity that occurs under your Account. You must not share your access credentials or allow any third party to access your Account.
Prompt notification. You agree to notify us immediately at naksha@upsurge.io if you become aware of any unauthorized use of your Account or any other breach of security.

We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, including but not limited to cases where we reasonably believe that Account information is inaccurate, that the Account is being used in violation of these Terms, or that the Account poses a risk to the Service or other Users.

5. The Service

Naksha is an AI-powered personality and compatibility platform that provides the following features and functionality:

Personality profile computation. Precise algorithmic analysis using your birth details (date, time, and place of birth) to compute your unique personality profile.
AI-generated interpretations. Natural language Readings synthesized from your Profile Data, covering personality analysis, life domain assessments, and personalised insights.
Temporal insights. Analysis of time-based personality cycles and phases providing context for your personal growth and development.
Daily and monthly insights. Real-time and forecasted interpretations of current influences on your personality profile, including daily insights and monthly outlooks.
Compatibility reports. In-depth compatibility analyses generated when two Users establish a mutual Connection.
Discovery & matching. A dating discovery feed presenting other opted-in Users with a classical guna compatibility score (out of 36) and a plain-language verdict, and mutual matching between interested Users.
Match Chat. Person-to-person messaging between matched Users, subject to the conduct and safety rules in Section 8.
Ved — personal AI. An interactive dialogue interface that allows you to ask questions about your personality profile, Readings, and compatibility.

The Service is provided for purposes of entertainment, self-reflection, cultural exploration, and personal interest only. Naksha is not a substitute for professional advice of any kind. Readings, interpretations, and guidance generated by the Service — including all output from Ved — do not constitute and shall not be construed as medical, psychological, legal, financial, investment, relationship, or any other form of professional advice.

You acknowledge and agree that any decisions you make based on information provided by the Service are made at your own risk and sole discretion. We strongly encourage you to consult qualified professionals for matters requiring professional expertise.

6. Artificial Intelligence Disclosure

Transparency regarding the nature of our Service is important to us. You should be aware of the following:

All Readings are AI-generated. Every interpretation, analysis, and piece of guidance provided by Naksha — including all responses from Ved — is generated by artificial intelligence. No human experts are involved in producing, reviewing, or approving individual Readings.
AI model provider. Our AI synthesis layer is powered by third-party large language models. The specific provider and model may change over time as the technology evolves.
No guarantee of accuracy. While we strive for high-quality interpretations, AI-generated content may contain errors, omissions, inconsistencies, or hallucinations. We do not warrant the accuracy, completeness, or reliability of any Reading.
Interpretive variance. Personality analysis encompasses multiple frameworks and interpretive methodologies. Different approaches may reach different conclusions from the same Profile Data. Naksha's interpretations reflect one synthesized approach and should not be treated as definitive.
Computational accuracy vs. interpretive certainty. Our foundational computations (Layer 1) are mathematically precise. The interpretive layer (Layer 3) applies AI to analytical frameworks and is inherently subjective. These are distinct processes with different reliability profiles.
Evolving outputs. AI models are updated and improved over time. Readings generated on different dates for the same Profile Data may differ due to model updates, prompt refinements, or changes in our interpretive framework.
Safety controls and reporting. We use product rules and technical safeguards to reduce prohibited or harmful output, but no safeguard is perfect. You can report an offensive or unsafe Ved response directly beneath that response. The reported response and selected reason are sent to our safety team for review.

7. Connections & Compatibility

The Connection feature allows two Users to link their Accounts for the purpose of generating compatibility Readings. The following rules govern Connections:

Mutual consent required. A Connection is established only when both Users have affirmatively consented. One User sends a Connection request; the other must accept it. No Connection is formed without bilateral agreement.
Data shared in Connections. When a Connection is established, each User's computed profile data is made available to the compatibility engine and visible to the connected User in the context of the compatibility Reading.
Data never shared in Connections. The following are never disclosed to a connected User: raw birth details (exact date, time, and place of birth), personal Readings unrelated to the compatibility analysis, Ved conversation history, daily influence data, and any other personal Account data not explicitly part of the compatibility report.
Disconnect at any time. Either User may dissolve a Connection at any time. Upon disconnection, access to the shared compatibility Reading is revoked for both parties. Previously viewed data cannot be retroactively unshared.
Respect and boundaries. You agree not to use the Connection feature to harass, stalk, or otherwise violate the rights or privacy of other Users. We reserve the right to disable Connection functionality for any User who abuses this feature.

8. Dating Features, Match Chat & Safety

Naksha includes dating features: a discovery feed of other opted-in Users, compatibility-based matching, and person-to-person messaging between matched Users ("Match Chat"). The following rules apply to all dating features:

Match Chat conduct. Match Chat is a direct human-to-human channel. You agree not to send content that is harassing, threatening, hateful, sexually explicit without consent, discriminatory, deceptive, or that promotes violence or illegal activity. You must not spam other Users, solicit money or goods, advertise commercial services, or send links to external schemes. Persistent unwanted contact after another User has stopped responding or has unmatched you constitutes harassment.
You are responsible for your interactions. We do not conduct criminal background checks or identity verification on Users. We make no representations or warranties as to the conduct, identity, intentions, or compatibility of any User. You are solely responsible for your interactions with other Users, whether online or offline.
In-person meeting safety. If you choose to meet another User in person, you do so entirely at your own risk. We strongly recommend: meet in a public place, tell a friend or family member where you are going, arrange your own transportation, and never feel obligated to continue a meeting that makes you uncomfortable. Compatibility scores and astrological verdicts are not an assessment of any person's character, safety, or trustworthiness.
Romance scam warning. Never send money, cryptocurrency, gift cards, or financial information to anyone you meet on the Service — no matter how compelling their story. Requests for money, investment "opportunities", requests to move the conversation to an untraceable channel, and refusal to video call are hallmark signs of romance scams. Report any such behavior to us immediately. We are not responsible for any losses arising from Users' interactions with one another.
Reporting and blocking. The Service provides tools to report and block other Users. Blocking immediately prevents further contact from the blocked User. Reports are reviewed and may result in warnings, content removal, feature restrictions, or Account termination of the reported User.
Moderation. We reserve the right (but assume no obligation) to review content sent through Match Chat and dating profiles — including content flagged by automated systems or reported by Users — and to remove content or suspend or terminate Accounts that violate these Terms, at our sole discretion and without prior notice.
Profile authenticity. Dating profile information and photos must be of you, current, and accurate. Impersonation, catfishing, using another person's photos, or materially misrepresenting your identity, age, or intentions is prohibited.
Unmatching. Either User may unmatch at any time, which closes the Match Chat for both parties.

If you ever feel unsafe, contact local law enforcement first, then report the User in Naksha or contact support@naksha.social. Our public Community and Child Safety Standards explain prohibited conduct, enforcement, and the designated child-safety contact.

9. User Conduct

You agree not to engage in any of the following prohibited activities in connection with your use of the Service:

Scraping and data extraction. Using automated tools, bots, crawlers, or scripts to access, scrape, mine, or extract data from the Service.
Automated access. Accessing the Service through any automated means or interface not provided by us, including but not limited to unauthorized API calls.
Impersonation. Creating an Account using another person's birth details without their knowledge and consent, or otherwise impersonating any person or entity.
Harassment. Using the Service, including the Connection feature or any communication channel, to harass, threaten, intimidate, or harm other Users.
Reverse engineering. Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code, algorithms, prompts, or underlying architecture of any part of the Service.
Misrepresentation of Readings. Presenting Naksha's AI-generated Readings to third parties as professional advice, medical guidance, psychological counsel, or any other form of licensed professional service.
Circumventing security. Attempting to probe, scan, test, or breach the security or authentication mechanisms of the Service, or interfering with the proper functioning of the Service.
Commercial redistribution. Reproducing, distributing, publicly displaying, selling, licensing, or commercially exploiting any Readings, Content, or other materials obtained through the Service without our prior written consent.
Harmful or illegal use. Using the Service for any purpose that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful activity.
Interference. Taking any action that imposes an unreasonable or disproportionately large load on our infrastructure, or that could disable, overburden, or impair the Service.

Violation of these conduct rules may result in immediate suspension or termination of your Account, at our sole discretion and without prior notice.

10. Intellectual Property

The Service, including its design, architecture, source code, algorithms, visual elements, textual content, documentation, logos, and trademarks, is owned by Upsurge Labs Pte. Ltd. and is protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws of Singapore and other jurisdictions.

Platform ownership. All rights, title, and interest in and to the Service (excluding User-provided content) are and shall remain the exclusive property of Upsurge Labs. Nothing in these Terms transfers any intellectual property rights to you.
Your data remains yours. You retain ownership of the Personal Data you provide to us (birth details, profile information, and similar data). We do not claim ownership of your personal information.
License to process. By using the Service, you grant us a limited, non-exclusive, non-transferable, revocable license to process, store, and use your data solely for the purpose of delivering the Service to you, as further described in our Privacy Policy.
Personal use only. Readings generated by the Service are provided for your personal, non-commercial use. You may not commercially redistribute, sublicense, or resell Readings or any derivative works based on them.
Trademarks. "Naksha," "Ved," the Naksha logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Upsurge Labs or its affiliates. You may not use these marks without our prior written permission.

11. User Content

In the course of using the Service, you may provide certain content, including but not limited to birth details, profile photographs, display names, and messages sent through Ved or other interactive features ("User Content").

License grant. By submitting User Content, you grant Upsurge Labs a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, store, reproduce, and display such User Content solely to the extent necessary to operate, maintain, and improve the Service. This license terminates when you delete your Account or the relevant User Content, except to the extent required for backup, archival, or legal compliance purposes.
Your representations. You represent and warrant that you own or have the necessary rights, licenses, and permissions to provide all User Content submitted through the Service, and that your User Content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party.
No ownership claim. We do not claim ownership of your User Content. As between you and us, you retain all rights to your User Content, subject to the limited license granted above.
Accuracy. You are solely responsible for the accuracy and completeness of your User Content. We are not obligated to verify, validate, or correct any User Content.

12. Third-Party Services

The Service relies on and integrates with certain third-party services and platforms. By using the Service, you acknowledge the following:

AI Model Providers. Our AI-generated Readings are produced using large language models from frontier AI laboratories, currently including Anthropic and OpenAI, with additional providers integrated as the Service evolves. Your interactions with the Service involve the processing of data by these providers' systems in accordance with our data processing agreements.
Cloudflare. Our infrastructure — including our database (Cloudflare D1), media storage (Cloudflare R2), and API layer (Cloudflare Workers) — is hosted on Cloudflare's global network. Your use of the Service is subject to Cloudflare's operational environment.
Apple. If you access the Service through our iOS application, your download and use of the app is also subject to Apple's App Store Terms of Service. Apple is not a party to these Terms and has no obligation to furnish any maintenance or support services with respect to the app.
Third-party links. The Service may contain links to third-party websites, services, or resources. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services.

We are not responsible or liable for any loss, damage, or harm arising from your use of or reliance on any third-party service, product, or content. Your interactions with third-party services are governed solely by the terms and policies of those third parties.

13. Fees

Naksha is free. There is no charge to create an account, generate your personality profile, receive readings, use Ved, or access compatibility features. If we ever introduce paid features in the future, we will notify you with at least thirty (30) days' advance notice, and you will not be charged without your explicit consent.

14. Service Availability & Modifications

We strive to provide a reliable and consistent experience, but we cannot guarantee uninterrupted availability.

No uptime guarantee. The Service is provided on an "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time or location.
Maintenance. We may perform scheduled or unscheduled maintenance that temporarily affects the availability or functionality of the Service. Where practicable, we will provide advance notice of planned maintenance.
Modifications. We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.
Force majeure. We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, power or internet failures, or third-party service disruptions.

15. Termination

By you. You may stop using the Service at any time. You may request deletion of your Account and associated data by contacting us at naksha@upsurge.io. Upon receiving a verified deletion request, we will delete or anonymize your Personal Data in accordance with our Privacy Policy, subject to any legal retention obligations.
By us. We may suspend or terminate your Account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to: (a) violation of these Terms, (b) conduct that we reasonably believe is harmful to other Users, to us, or to third parties, (c) extended periods of inactivity, or (d) requests by law enforcement or government agencies. We will make reasonable efforts to notify you of termination, but are not obligated to do so where immediate action is required.
Effect of termination. Upon termination, your right to access and use the Service ceases immediately. We may, but are not obligated to, delete your Account data following termination.
Survival. The following sections survive termination of these Terms: Definitions, Intellectual Property, User Content (license provisions), Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature are intended to survive.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Upsurge Labs expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Any warranty that the Service will meet your requirements or expectations.
Any warranty that the Service will be uninterrupted, timely, secure, or error-free.
Any warranty regarding the accuracy, reliability, completeness, or correctness of any Reading, Profile Data, interpretation, or other Content generated by the Service.
Any warranty that defects in the Service will be corrected.

Naksha applies artificial intelligence to generate personality insights and compatibility analysis. We make no representation that AI-generated Readings reflect objective truth, predict future events with certainty, or are universally accepted across different analytical frameworks. You use the Service and rely on its output entirely at your own risk.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

In no event shall Upsurge Labs, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, regardless of the cause of action or theory of liability (whether in contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Service shall not exceed one hundred Singapore dollars (SGD 100). The Service is provided free of charge, and this cap reflects the nature of the free service provided.
Decisions made on the basis of Readings. Any actions, decisions, or choices you make based on Readings, interpretations, guidance, or other Content provided by the Service — including but not limited to personal, financial, medical, legal, or relationship decisions — are made at your sole risk and discretion. We bear no liability for the consequences of such decisions.

Certain jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

18. Indemnification

You agree to hold harmless Upsurge Labs Pte. Ltd., its officers, directors, employees, and affiliates from any claims, losses, or expenses (including reasonable legal fees) that arise from your misuse of the Service, your violation of these Terms, or your infringement of any third party's rights.

19. Dispute Resolution

If a dispute arises in connection with the Service:

Talk to us first. Contact us at naksha@upsurge.io. We will try to resolve your concern informally within thirty (30) days.
Individual claims only. All disputes shall be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
Jurisdiction. If informal resolution fails, disputes shall be submitted to the courts of the Republic of Singapore.

20. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

For any matters not subject to arbitration as set forth in Section 19, you agree to submit to the exclusive jurisdiction of the courts of the Republic of Singapore.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving its original intent to the greatest extent possible.

22. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Upsurge Labs with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, between you and Upsurge Labs regarding the Service.

23. Assignment

Upsurge Labs may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any person or entity at any time without notice or your consent. This includes assignments in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this section shall be null and void.

24. Waiver

The failure of Upsurge Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall be effective only if in writing and signed by an authorized representative of Upsurge Labs. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

25. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

Notification. We will update the "Effective" date at the top of this page. For material changes — such as modifications to your rights, our liability, or dispute resolution procedures — we will make reasonable efforts to provide additional notice, such as sending an email to the address associated with your Account or displaying a prominent notice within the Service.
Continued use. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
Review. We encourage you to review these Terms periodically to stay informed of any updates.
